Canadian satellite services company OmniGlobe Networks has signed a Letter of Intent to acquire UK-based satellite contribution systems developer Sat-Comm Ltd.
The transaction, which is supported by both boards, is subject to the completion of a normal due diligence process and of a final purchase agreement between the two parties. OmniGlobe, which is carrying out the acquisition via its subsidiary OmniGlobe Networks EMEA, stated that it would purchase Sat-Comm through a mix of cash and shares. The deal is expected to close by mid-ear.
Founded in 2000 by it current managing director Tim Williams, Sat-Comm is a satellite and broadcast systems integrator specialising in flyaway and vehicle borne satcom and SNG systems. The company owns a fully-equipped production and manufacturing facility in the UK and its customers include Canal +, the BBC and Arqiva. OmniGlobe has worked with Sat-Comm for the past two years as it sought to expand into the broadcast and news gathering market.
Commenting on the agreement, Williams said: “We firmly believe that our strengths in the broadcast contribution market complement perfectly those of Omniglobe in the satellite communications sector, and that cementing our partnership means that we can offer our customers an unparalleled depth of experience in both markets.”
Williams will retain his title and role of managing director of Sat-Comm as well as join the board of OmniGlobe EMEA.
