Taiwanese set-top box solutions provider ALi Corporation has acquired Swiss fabless semiconductor firm Abilis Systems Sàrl in a US$20m deal.
ALi acquired the group, which provides radio frequency modulators, secure media processors and broadcast-to-IP solutions, from conditional access firm Kudelski Group.
Under the deal, ALi will pay US$18m from its cash on hand, which amounts to around US$130m, it is understood. If Abilis later meets certain financial and business criteria, ALi could pay a further US$2m.
In addition, the two companies have entered into an agreement that will see ALi support Kudelski in protecting pay-TV content across its set-top box value chain.
Last year, Kudelski announced plans to restructuring its business to save costs and further focus on converging digital TV and internet technologies. This restructuring saw its streamline its management structure, cut jobs, and spin off its Nagra Audio unit, which develops portable digital recorders and products for the Hi-Fi sector.
