US telecoms access systems provider Calix announced yesterday that it has acquired rival Occam Networks.
In a statement, Calix said that the acquisition was completed on Tuesday after approval was granted by shareholders.
It said that each outstanding share in Occam Networks will be converted into the right to receive either US$3.8337 in cash or 0.2925 of a share in Calix common stock.
This means that holders of Occam outstanding shares were entitled to receive US$83.3m in cash and around 6.4 million shares in Calix.
Calix told TelecomFinance that it was advised by Morgan Stanley on the acquisition. Calix’s legal adviser was Latham & Watkins.
