Ground control system manufacturer Integral Systems has accepted the resignation of two of its directors, effective as of February 15, 2011.
Major General James B. Armor, Jr and William F. Leimkuhler have left the company in accordance with the terms of an agreement between Integral Systems and its largest shareholder, Vintage Partners, to cut two Class II directors and reduce the size of the company’s board to nine directors before the 2011 annual meeting.
Director Alan W. Baldwin will also resign as a Class I director, effective the same date, to become a Class II director, so that company’s three classes of directors have an equal number of members.
Armor joined the board in March 2008. He is vice president, strategy and business development at ATK Spacecraft Systems & Services.
Leimkuhler joined the board in May 2006. He is the general counsel and director of business development of Paice Corporation, a privately held developer of advanced vehicle powertrains.
Baldwin joined the board in December 2006. He previously served as the interim CEO and as president, appointed in May 2007 and November 2007 respectively, until July 2008. Prior to joining Integral, Baldwin served as president and COO of Argosy International from May 2005 through May 2006 and as a consultant to Argosy International from June 2006.
